Terms of Service

1. Acceptance of Terms
By accessing or using the ArcRelay Ops platform, website, or any related services provided by ArcRelay Ops LLC (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including contractors, office staff, and field technicians who access the platform.
2. Description of Service
ArcRelay Ops LLC provides ArcRelay Ops, a field service operations platform designed to assist service contractors in managing job scheduling, technician coordination, customer records, and related workflows. The Service is provided on an "as-is" and "as-available" basis. Features and functionality are subject to change and are described in terms of intended design, not guaranteed performance.
The Service may also include optional features or add-ons for AI-assisted business-number call handling, SMS confirmations, accounting sync, and location-aware workflow automation. Availability depends on your plan, configuration, connected providers, and operational readiness.
3. Account Registration
To access certain features, you must create an account. You agree to provide accurate and complete information and to keep your account credentials secure. You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized use.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorized access to any part of the Service or its infrastructure
- Transmit harmful, offensive, or fraudulent content through the platform
- Reverse engineer, decompile, or attempt to extract source code from the Service
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service to send marketing emails, calls, or text messages without the notices, consent, seller-specific authorization, or opt-out mechanisms required by applicable law
5. Your Data
You retain ownership of all data you enter into the platform, including job records, customer information, communication preferences, and technician notes. By using the Service, you grant ArcRelay Ops LLC a limited license to process and store your data solely for the purpose of providing the Service. We do not claim ownership of your data.
When you use ArcRelay Ops to store or manage information about your own customers, jobs, communications, or billing records, you control that customer data in your workspace. In that context, ArcRelay Ops LLC processes and stores the data on your behalf as a service provider or processor as permitted by applicable law and our agreements with you.
You represent that you have all rights, notices, and consents necessary to collect, upload, process, and communicate using the data you submit to the Service, including any customer email addresses, telephone numbers, documents, or marketing consent records.
You are responsible for your relationship with your customers, including providing any privacy notices, obtaining any permissions or consents, responding to customer requests where required by law, and determining what information you choose to submit to the Service.
If you enable AI-assisted voice or SMS workflows, or location-aware workflow features, you authorize ArcRelay Ops LLC and its service providers to process the related customer contact details, call or message content, missed-call details, appointment requests, technician or device identifiers, and location or presence events needed to provide those features.
6. Subscription Billing and Free Trials
If offered, ArcRelay Ops subscriptions may begin with a 14-day free trial without collecting a payment method. If you do not choose to add a payment method before the trial ends, the subscription pauses and you will not be charged automatically. You may add payment later if you decide to continue with paid service.
Subscriptions renew automatically for the billing interval shown at checkout until canceled. By starting a paid subscription, you authorize recurring charges for the selected plan, applicable taxes, and any other clearly disclosed amounts.
You may cancel through the billing portal made available in the Service or by contacting us. Cancellation will stop future renewals, but charges already paid are generally non-refundable unless required by law or expressly stated otherwise in writing. Pricing, billing intervals, plan features, and promotional terms are subject to change, but the terms displayed at checkout control for the subscription you start.
Certain promotional, beta, or support prices may be limited in quantity, eligibility, or duration. If you subscribe under one of those prices, that pricing remains available only while the applicable subscription stays active, unless we state otherwise in writing. If you cancel, end, or allow that subscription to lapse, any later reactivation or new subscription may be charged at the then-current rates.
7. Invoice Payments and Third-Party Payment Options
ArcRelay Ops LLC may allow service businesses to accept invoice payments through third-party payment processors. Payment methods made available at checkout may include card payments and other third-party payment options or financing products, subject to eligibility, transaction amount, customer location, underwriting, and provider terms.
ArcRelay Ops LLC is not a bank, lender, or credit decision-maker. Any financing or buy-now-pay-later option made available at checkout is offered by a third-party provider under that provider's terms, disclosures, and approval criteria.
8. Refunds, Reversals, and Disputes
The service business that issued an invoice remains responsible for the underlying goods or services, customer service related to that work, and any decision to issue a refund, subject to applicable law and payment processor rules. Refunds, reversals, and disputes may also be governed by the applicable payment processor or financing provider.
ArcRelay Ops LLC may assist with payment operations, records, or dispute-related information, but we do not guarantee that any refund, reversal, or dispute will be resolved in a particular way or timeframe.
9. Messaging and Marketing Compliance
If you use ArcRelay Ops to send emails, text messages, or other communications to customers, you are responsible for complying with applicable laws and carrier or platform rules, including rules governing marketing email, telemarketing, SMS, consent, disclosures, and opt-out requests.
If you use AI-assisted call handling, business-number texting, or similar communication workflows, you are also responsible for any caller disclosures, monitoring notices, or consent required by applicable law for your use case.
Marketing emails should include a functioning unsubscribe mechanism. Marketing texts should only be sent with the consent required by applicable law, and consent must not be treated as a condition of purchase. If your use case requires prior express written consent, including under the TCPA or similar California rules, you must obtain that consent from the specific seller or sender on whose behalf the message will be sent. You are responsible for maintaining any consent records required for your use of the Service.
ArcRelay Ops LLC may queue, schedule, or defer outbound customer communications based on workspace settings, customer communication preferences, quiet hours, and local-time delivery settings. You remain responsible for ensuring your use of these features complies with applicable law and your notice and consent obligations.
If you send text messages to California residents, you are responsible for complying with California requirements applicable to text message advertising, including honoring opt-out requests where required and avoiding promotional text campaigns that lack a lawful consent basis or applicable exception.
ArcRelay Ops LLC may capture certain consent or revocation metadata that flows through the Service, such as timestamps, source labels, phone numbers, and one-time opt-out confirmation logs. Those records may help you document your process, but they do not replace your obligation to ensure that the original consent language, disclosure context, and outreach campaign are legally sufficient for your use case.
For example, if you invite a team member by phone number through ArcRelay Ops, you represent that you have the recipient's permission to receive that one-time invite. If the recipient later creates an account and opts in to ongoing SMS job notifications or updates through ArcRelay Ops, the Service may record that follow-on consent event separately.
If you enable location-aware workflow or arrival automation features, you are responsible for any workforce notice, policy, or consent required to collect or use technician or device location data under applicable law, contract, or employment policy.
10. Intellectual Property
All content, design, software, and materials comprising the Service are the property of ArcRelay Ops LLC or its licensors and are protected by applicable intellectual property laws. You may not copy, reproduce, or distribute any part of the Service without prior written permission.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ARCRELAY OPS LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR SPECIFIC REQUIREMENTS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCRELAY OPS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.
13. Termination
We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms. You may also terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised date. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved through good-faith negotiation before pursuing formal legal proceedings.
